1. Who We Are

FirstBid, LLC (“FirstBid,” “we,” “us,” or “our”) operates the FirstBid platform, a government contract discovery and proposal assistance tool for small and diverse businesses. Our principal place of business is in Houston, Texas.

2. Eligibility

You must be at least 18 years old and legally authorized to form a binding contract to use the Service. By using FirstBid you represent that you meet these requirements and that all information you provide is accurate and current.

3. Account Registration

You must create an account to access most features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@firstbidpro.com if you suspect unauthorized access.

Each account is tied to a single business entity. You may not share accounts across unrelated companies or individuals.

4. Subscription Plans and Payment

FirstBid offers Free, Starter, Pro, and Agency subscription tiers. Paid plans are billed monthly or annually via Stripe. By providing payment information you authorize us to charge your payment method on a recurring basis until you cancel.

All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days’ notice to your registered email address.

Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree not to:

• Scrape, crawl, or systematically extract data from the Service
• Reverse-engineer, decompile, or attempt to access the source code of the Service
• Use the Service to submit false, fraudulent, or misleading information to any government agency
• Resell, sublicense, or redistribute access to the Service without written permission
• Use automated means to interact with the Service in ways that exceed normal usage
• Violate any applicable federal, state, or local law or regulation

We reserve the right to suspend or terminate any account that violates these terms at our sole discretion.

6. Intellectual Property

All software, designs, logos, scoring algorithms, and platform features are the exclusive property of FirstBid, LLC or its licensors. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

Content you submit to the platform (company profiles, NAICS codes, proposal drafts) remains yours. You grant us a limited license to process this content solely to provide and improve the Service.

7. Data Sources and Accuracy

FirstBid aggregates publicly available government procurement data from sources including SAM.gov, the City of Houston, Harris County, METRO, Port Houston, TxDOT, the University of Houston, and others. We make no warranty that this data is complete, accurate, or current. Opportunity listings are provided for informational purposes only.

Always verify deadline dates, solicitation requirements, and submission instructions directly with the issuing agency before submitting a bid or proposal. FirstBid is not responsible for missed deadlines or disqualified bids arising from reliance on data in the platform.

8. AI-Generated Content

FirstBid uses artificial intelligence to generate proposal drafts, opportunity scores, and recommendations. AI-generated content may contain errors, omissions, or outdated information. You are solely responsible for reviewing, editing, and verifying any AI-generated content before submission to a government agency. Do not submit AI-generated proposals without human review.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FIRSTBID, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BIDS, ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless FirstBid, LLC, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may cancel your account at any time from the Billing page. We may terminate or suspend your account immediately, without notice, if you breach these Terms. Upon termination, your right to use the Service ceases and we may delete your data after a reasonable retention period.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
